I. General Provisions

A person with a legal education (higher; secondary) is appointed to the position of a specialist in registration of legal entities (without presenting requirements for work experience; work experience in the specialty is at least 1 year).
The specialist in registration of legal entities should know:

Ukrainian legislation.
rules for the development of constituent documents.
requirements for the preparation and execution of documentation necessary for the registration of legal entities.
rules for the submission and preparation of documents to the registration chamber.
a scheme for registering a legal entity with tax authorities, bodies of state extra-budgetary funds.
rules for opening settlement accounts of a legal entity.
share registration procedure.
the procedure for registering changes in constituent documents.
methods of information processing using modern technical means of communication and communication, computer.

Appointment to the position of a specialist in registration of legal entities and dismissal from office is carried out by order of the head of the organization.

II. Official duties

Legal entity registration specialist:

Within the framework of the agreement concluded with the client, he meets with him, advises him on the choice of a certain organizational and legal form of a legal entity, discusses the essential terms of constituent documents, receives other information and documents necessary for registering a legal entity.
Receives a certificate of non-repeatability of the name under which the client wishes to register a legal entity.
Develops draft constituent documents, submits them for approval and approval to the client, takes into account the client's comments on the content of the constituent documents.
Organizes the production of the seal and its registration.
Prepares constituent and other documents (protocols, etc.) for the registration of a legal entity, submits them to the registration chamber, makes corrections according to the remarks of the chamber's officials.
Carries out registration of a legal entity with tax authorities, in the bodies of state non-budgetary funds.
Organizes the opening of a current account for a legal entity in a bank, organizes the transfer of amounts of the authorized capital.
Carries out registration of shares (joint stock companies).
Receives in the registration chamber constituent documents, a certificate of registration of a legal entity; transfers the specified documents to the client.
Carries out work on making changes to the constituent documents and ensures their registration on the orders of clients.
Prepares progress reports and presents them to the client for reimbursement of overhead costs.
Submits reports on the work performed and their results to his immediate supervisor.
Informs his immediate supervisor about the assessment of work by clients, individual requirements of clients, claims made by clients regarding the quality of services provided.
Participates in the implementation of the organization's projects to provide a package of legal services to regular clients in terms of registration.
Provides methodological and consulting assistance to employees of the organization on the issues of registration of legal entities when they perform other work (servicing other clients).
Carries out internal orders of the organization in terms of registration and support of the activities of the organization itself.
Performs individual official assignments of his immediate supervisor.

III. Rights

The specialist in registration of legal entities has the right to:

Require clients to provide documents and information necessary for the registration of legal entities.
Obtain necessary clarifications and additional information from customers.
Get acquainted with the documents that define his rights and obligations for his position in the organization, the criteria for assessing the quality of performance of official duties.
Participate in the discussion of issues related to their duties.
Require the management of the organization to assist in the performance of his duties and the exercise of the rights granted.

IV. A responsibility

The Legal Entity Registration Specialist is responsible for:

For improper performance or non-performance of their official duties provided for by this Job Description - within the limits established by the current labor legislation of Ukraine.
For offenses committed in the course of their activities - within the limits established by the current administrative, criminal and civil legislation of Ukraine.
For causing material damage to the organization - within the limits established by the current labor and civil legislation of Ukraine.
