I. General Provisions

  1. The director of the Agency belongs to the category of managers.
  2. The Director of the Agency is appointed to the position and dismissed by the decision of the Founders.
  3. During the absence of the Director of the Agency (business trip, vacation, illness), his duties are performed by the Deputy Director of the Agency, who acquires the relevant rights and obligations for the period of replacement.
  4. Agency employees are notified of the replacement of the Director in accordance with the general rules for notification of the entry into force of orders and instructions.
  5. A person with a higher managerial, economic, engineering and technical education and work experience in managerial positions in commercial companies for at least 3 years is appointed to the position of Director of the Agency.
  6. The Director of the Agency must know:
  • Ukrainian legislation;
  • the procedure for drawing up and agreeing on business plans for the production, economic and financial and economic activities of the Company;
  • market methods of managing and managing the Company;
  • a system of economic indicators that allow a TV company to determine its position in the market and develop programs for entering new sales markets;
  • the procedure for concluding and executing economic and financial contracts;
  • scientific and technical achievements and best practices in the television (radio) sector of the economy;
  • economic and financial management of the Agency;
  • methods of organization and legislative regulation of production and labor;
  • market conditions;
  • prospects for technical, economic and social development of the industry and the Company;
  • profile, specialization and features of the structure of the Company;
  • creative, production, scientific, technological capacities and human resources of the Company.

II. Official duties

  1. The Director manages, in accordance with the current legislation, the production, economic, commercial, financial and economic activities of the Agency.
  2. Ensures that the Agency fulfills all obligations to the Founders, authorities, suppliers, customers and creditors, including banking institutions, and also ensures that the Agency fulfills economic and labor contracts.
  3. Resolves issues related to the commercial, financial and economic and production and economic activities of the Agency within the powers granted by the Founders, entrusts the conduct of certain areas of activity to other officials - heads of structural divisions.
  4. Organizes the work and effective interaction of all departments of the Agency, directs their activities towards development and improvement, taking into account market priorities, achieving an increase in work efficiency, growth in sales and increase in profits, quality and competitiveness of the Agency, compliance of the results of its activities with world standards.
  5. Organizes the activities of the Agency on the basis of the wide use of progressive forms of management, the latest technology and technology, organization of labor, scientifically based standards of material, financial and labor costs, market research and best practices in order to increase the economic efficiency of the Agency in every possible way.
  6. Takes measures to provide the Agency with qualified personnel, rational use and development of their professional knowledge and experience, compliance with the requirements of the Labor Code.
  7. Provides unity of command in discussing and resolving issues of the Agency, the introduction of material and material incentives to improve the efficiency of the Company's work, the application of the principle of material interest and responsibility of each employee for the work entrusted to him.
  8. Ensures compliance with the law in the activities of the Agency and the implementation of its economic and economic relations, the use of legal means for financial management and functioning in market conditions, strengthening contractual and financial discipline, regulating social and labor relations, ensuring the investment attractiveness of the Agency in order to maintain and expand the scale of commercial activities .
  9. Manages the development and coordination with the Founders of business plans, strategic development plans, commercial plans of the Agency.
  10. At the suggestion of the heads of services, it considers and adopts, within its competence, decisions on the creation, reorganization and liquidation of the Agency's divisions.
  11. Provides the Founders with timely, complete and reliable information about the activities of the Agency.
  12. Ensures the safety of the Agency's property, increase of its capitalization, effective management of its assets and resources.
  13. Organizes work on advertising manufactured products or services performed in order to promote them to sales markets, informing consumers about the benefits of quality and the distinctive properties of the advertised goods or services.
  14. Manages, plans and coordinates advertising campaigns.
  15. Participates in the formation of an advertising strategy based on promising areas for further organizational development, innovation and investment activities.
  16. It studies the advertising market and the competitive environment in order to determine the most effective strategy for the development of the Agency.
  17. Controls the development and implementation of agreements and contracts for advertising products or services.
  18. Organizes relations with business partners, a system for collecting the necessary information and expanding external relations in order to improve advertising activities.
  19. Analyzes the motivation of demand for the services provided, organizes the study of the needs of advertisers and determines the methods and direction of advertising campaigns.
  20. Maintain the necessary links with other structural divisions of the enterprise in the process of developing and conducting advertising campaigns, involve consultants and experts in solving assigned tasks, invite well-known and popular people to participate in advertising, concluding contracts with them on a commercial basis.
  21. In the field of production of promotional videos, approves an application for the production of promotional videos, an estimate for promotional videos.
  22. In the field of reviewing news stories, approves their compliance with the current legislation.
  23. Approves the internal normative acts of the Agency in the field of regulation of labor relations, including the staffing table, the Regulations on remuneration and others.
  24. Concludes labor, author's and civil law contracts with full-time, freelance employees and attracted specialists of the Agency, and also makes decisions on transfers, relocations, secondments and dismissals of the Agency's employees.
  25. In the field of remuneration, approves the honorary sheet, commission sheet, summary sheet on a monthly basis; quarterly approves (following the results of a quarterly meeting with the Founders) the Company's bonus fund, its distribution by service and bonus list in accordance with the CTU of employees on the proposals of service heads.
  26. Responsible for the organization and observance of the Agency's safety regulations.
  27. Appoints financially responsible persons.
  28. Organizes methodological assistance to the heads of departments on all issues related to the advertising of manufactured products or services.

III. Rights

The Director of the Agency has the right:

  1. Act on behalf of the Agency without a power of attorney.
  2. Represent the interests of the Agency in relations with citizens, legal entities, public authorities and administrations.
  3. Dispose of the property and funds of the Agency in compliance with the requirements established by law, the Charter of the Company, other regulatory legal acts and within the powers issued by the Founders.
  4. Open current and other accounts in banking institutions.
  5. Conclude employment contracts.
  6. Get acquainted with the draft decisions of the Founders relating to the activities of the enterprise.
  7. Participate in the discussion of issues related to the performance of their duties.
  8. Submit proposals to the Founders to improve the activities of the Agency.
  9. Require the Founders to assist in the performance of their duties and rights.
  10. Issue powers of attorney for civil law transactions, representation on behalf of the Agency.
  11. Make decisions on submissions:
  • on bringing employees who have violated production and labor discipline, guilty of causing material damage to the television company, to material and disciplinary liability;
  • on financial incentives for particularly distinguished employees.

IV. A responsibility

The Director of the Agency is responsible for:

  1. For the proper performance of official duties.
  2. For the preparation, approval and provision of reliable information and reporting to the Founders, to supervisory and regulatory authorities.
  3. For the timely and high-quality execution of documents and instructions of the Founders.
  4. For the safety and rational use of the material assets and other resources of the Company entrusted to him.
  5. For the observance of labor discipline.
  6. For compliance with the Agency's safety regulations, labor protection, fire safety and sanitary standards.

Heat-reflecting coatings for glass have been known for a long time and are often used in the windows of south-facing buildings.

In hot weather, they reject the infrared rays of the Sun, maintaining an acceptable temperature in the rooms. But, unfortunately, in winter, when heating by the sun's rays would not hurt, these glasses continue to reflect heat.

This is not how a new glass coating developed by English chemists from University College London and the University of Liverpool behaves. Several decades ago, scientists discovered that vanadium dioxide, which transmits infrared rays at ordinary temperatures, becomes opaque to these rays if it is heated above 68 degrees Celsius.

English chemists, by adding traces of tungsten to vanadium dioxide, were able to reduce the transition temperature to 29 degrees Celsius. When newly coated glass is heated to this temperature, it begins to reflect heat rays. In the meantime, the temperature of the glass is lower, it passes them and heats the room. It is estimated that on sunny winter days, apartments on the south side of buildings with such window panes can save up to half of heating costs.

The coating is applied by keeping the freshly made, still hot sheet glass in an atmosphere of two gases - vanadium oxytrichloride and tungsten hexachloride at atmospheric pressure.

Two problems must be overcome before mass production of the new glass can begin. First, the self-adjusting coating gives the glass a yellowish-greenish tint. To neutralize it, blue dyes can be introduced into the glass. Secondly, the new coating can be washed off when washing windows. Apparently, it will be necessary to protect the heat-regulating glass on both sides with sheets of ordinary glass.
